IMPORTANT: FixClin is a technology platform connecting clients with independent service providers. We do not employ service providers, perform home services, supervise work, or act as a contractor or merchant of record. All services are contracted directly between clients and providers.

1. Definitions

The following definitions apply throughout this Agreement:

  • "Platform" means the FixClin website, mobile application, and all related services operated by FIXCLIN TECH S.R.L.
  • "Client" means any individual aged 18 or over who uses the Platform to search for or book home services.
  • "Service Provider" means any independent professional, tradesperson, or registered company on the Platform offering home services.
  • "User" means both Clients and Service Providers collectively.
  • "Subscription" means a recurring paid membership plan purchased by a Service Provider to access Platform features.
  • "Services" means home services including plumbing, electrical, cleaning, handyman, gardening, HVAC, moving, appliance repair, furniture assembly, and related trades, offered by Service Providers via the Platform.
  • "Content" means any text, photos, reviews, ratings, messages, or other material submitted by Users.
  • "Governing Language" means the English version of this Agreement, which is the legally binding version in case of conflict between translations.

2. Platform nature — important legal notice

  • 2.1 FIXCLIN TECH S.R.L. is a technology intermediary. We operate a marketplace connecting independent Service Providers with Clients. We are not a general contractor, staffing agency, employer, or provider of home services.
  • 2.2 Service Providers are independent professionals. They are not employees, agents, or partners of FixClin. FixClin does not supervise, direct, control, or set work hours or methods for any Service Provider.
  • 2.3 FixClin does not guarantee the quality, legality, safety, or outcome of any service performed. The service contract is formed exclusively between the Client and the Service Provider.
  • 2.4 FixClin charges Service Providers a flat subscription fee for platform access. We do not take a commission on individual transactions.

3. Eligibility and registration

3.1 General requirements

  • Users must be at least 18 years of age.
  • Users must have legal capacity to enter into binding contracts under applicable law.
  • Service Providers must have the legal right to work in Moldova and/or Romania, as applicable.
  • All registration information must be accurate, complete, and kept up to date.

3.2 Service Provider registration requirements

  • Valid national identity document or business registration certificate.
  • Proof of any trade licences, permits, or certifications required by law for the services offered.
  • Valid contact details including phone number and email address.
  • Agreement to FixClin's identity verification process, conducted by the FixClin team prior to profile activation.
  • Maintenance of required liability insurance at the Service Provider's own expense.
  • Service Providers must not register using another person's identity, trade licence, or professional credentials.

3.3 Account security

You are responsible for maintaining the confidentiality of your login credentials. You must notify FixClin immediately at support@fixclin.com if you suspect unauthorised access to your account. FixClin is not liable for losses resulting from unauthorised access caused by your failure to protect your credentials.

4. Subscription plans and billing

4.1 Subscription tiers and pricing

Subscription plans and current pricing for Moldova and Romania are displayed at the point of purchase on the Platform and at fixclin.com/pricing. Pricing may vary by market and is subject to change in accordance with Section 4.4 of this Agreement.

4.2 Billing terms

  • Subscriptions are billed on a recurring monthly or annual basis, payable in advance.
  • Payment is processed via a PCI-DSS compliant payment processor designated by FixClin.
  • FixClin strongly recommends completing subscription payments via the web platform to avoid third-party app store fees.
  • By subscribing, you consent to recurring charges to your chosen payment method until you cancel.

4.3 Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused months unless required by applicable law. Annual plans may be cancelled within 14 days of purchase for a full refund, provided no features of the upgraded plan have been accessed. Service Providers terminated by FixClin without cause retain the right to a pro-rata refund of any unused prepaid subscription period.

4.4 Price changes

FixClin reserves the right to modify subscription pricing upon 30 days' written notice to your registered email address. Continued use of the Platform after the notice period constitutes your acceptance of the revised pricing.

5. Service Provider obligations

Service Providers agree to:

Service Providers acknowledge that FixClin may suspend or terminate their account for any material breach of the above obligations, subject to the notice and refund provisions in Sections 4.3 and 16.

  • Maintain all licences, permits, insurance, and certifications required for their trade under Moldovan and/or Romanian law at all times.
  • Provide services with professional care, skill, and diligence.
  • Respond to client enquiries promptly and complete agreed work within confirmed timeframes.
  • Carry and maintain adequate liability insurance for their trade category.
  • Not solicit clients acquired via the Platform to transact outside the Platform in order to circumvent Platform terms.
  • Comply with all applicable tax obligations. FixClin does not withhold tax on behalf of Service Providers.
  • Immediately notify FixClin at support@fixclin.com if any licence, permit, or insurance lapses.
  • Not provide false or misleading information in their profile.
  • Treat all Clients with respect and not engage in discrimination, harassment, or abusive behaviour.

6. Client obligations

Clients agree to:

  • Provide accurate information when submitting service requests.
  • Be available at the agreed time and location for the service, or provide reasonable advance notice of any change.
  • Make payment as agreed directly with the Service Provider.
  • Treat Service Providers with respect and not engage in harassment, discrimination, or abusive behaviour.
  • Not post false, misleading, or defamatory reviews.
  • Not attempt to use the Platform to circumvent payment obligations to Service Providers.

7. Non-discrimination policy

FixClin is committed to equal access for all Users. Service Providers registered on the Platform may not refuse to provide services to Clients on prohibited grounds. Discrimination of any kind is a material breach of this Agreement and grounds for immediate account termination.

Clients may not direct abusive, discriminatory, or harassing behaviour toward Service Providers. Such conduct is equally a material breach of this Agreement.

Any User who believes they have been subject to discrimination may report it to support@fixclin.com.

8. Reviews and ratings

  • 8.1 Clients may submit reviews and ratings after a service is completed. Reviews must be honest, factual, and based on the actual service experience.
  • 8.2 FixClin reserves the right to remove any review that is false, defamatory, offensive, or in violation of this Agreement, following an internal review process.
  • 8.3 Service Providers may not request, incentivise, or coerce positive reviews, nor submit fake reviews.
  • 8.4 A Service Provider who believes a review is false or defamatory may submit a written complaint to support@fixclin.com. FixClin will acknowledge within 5 working days and communicate a decision within 14 working days.
  • 8.5 FixClin does not guarantee the accuracy or reliability of any review and is not liable for the content of User-generated reviews.

9. Prohibited conduct

All Users are prohibited from:

  • Using the Platform for any unlawful purpose.
  • Posting false, misleading, or fraudulent information, including false qualifications or fabricated reviews.
  • Impersonating another person or registering with another person's identity or professional credentials.
  • Attempting to gain unauthorised access to any part of the Platform or another User's account.
  • Using automated tools such as bots, scrapers, or crawlers to collect data from the Platform without written permission.
  • Engaging in any conduct that is harassing, threatening, discriminatory, or abusive.
  • Facilitating cash-in-hand arrangements that intentionally circumvent Platform transparency while remaining a registered member.
  • Reproducing or distributing FixClin's intellectual property without prior written consent.
  • Engaging in fraud, including providing false documentation during registration or verification.

10. Platform availability, maintenance, and modifications

  • 10.1 FixClin aims to provide uninterrupted Platform access but does not guarantee availability at all times.
  • 10.2 Planned maintenance will be communicated to registered Users at least 24 hours in advance where reasonably practicable.
  • 10.3 FixClin reserves the right to modify, suspend, or discontinue any feature of the Platform. Material changes affecting paid subscriptions require at least 14 days' written notice.
  • 10.4 FixClin is not liable for any loss resulting from planned or unplanned Platform downtime, provided reasonable precautions were taken.

11. Force majeure

FixClin shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including natural disasters, acts of war or terrorism, cyberattacks, government orders, power or internet infrastructure failures, or pandemic-related restrictions.

If a force majeure event continues for more than 30 consecutive days, Service Providers with active paid subscriptions may request a pro-rata credit for the affected period by contacting support@fixclin.com.

12. Governing language

This Agreement is made available in English, Romanian, and Russian. In the event of any conflict or inconsistency between versions, the English version shall prevail and be the legally binding version for all purposes.

13. Intellectual property

All content, logos, trademarks, software, and platform design are owned by or licensed to FIXCLIN TECH S.R.L. and protected by Moldovan and EU intellectual property law. Users may not copy, reproduce, or redistribute FixClin's intellectual property without written permission.

User-generated content such as reviews and profile photos remains the property of the submitting User. By submitting it, you grant FixClin a non-exclusive, royalty-free, worldwide licence to display it on the Platform for the duration of your account, and for up to 24 months thereafter for platform integrity purposes.

14. Limitation of liability

  • 14.1 To the maximum extent permitted by applicable law, FixClin is not liable for any act, omission, or negligence of any Service Provider or Client; the quality, safety, or legality of any services performed; property damage or personal injury arising from services; or any indirect, consequential, special, or punitive damages.
  • 14.2 FixClin's total aggregate liability to any paying User shall not exceed the total subscription fees paid by that User in the 12 months preceding the event giving rise to the claim.
  • 14.3 These limitations do not exclude liability for death or personal injury caused by FixClin's own negligence, or for fraud or fraudulent misrepresentation.

15. Indemnification

Each User agrees to indemnify, defend, and hold harmless FIXCLIN TECH S.R.L., its officers, directors, employees, and affiliates from any claims, losses, damages, liabilities, costs, and legal fees arising from the User's use of the Platform, breach of this Agreement, any services performed or received through the Platform, or violation of any applicable law.

16. Termination

  • 16.1 FixClin may suspend or terminate any User account for material breach of this Agreement, conduct detrimental to the Platform or other Users, fraudulent registration or impersonation, or any unlawful activity.
  • 16.2 For Service Providers with active paid subscriptions, FixClin will provide written notice and reasons for termination at least 7 days in advance, except where immediate suspension is required to protect Users or the Platform.
  • 16.3 Upon termination, the right to use the Platform ceases immediately. Sections 12, 13, 14, 15, and 17 survive termination.
  • 16.4 Service Providers terminated by FixClin without cause retain the right to a pro-rata refund of any unused prepaid subscription period.

17. Dispute resolution

  • 17.1 FixClin encourages Users to resolve disputes directly. Our support team is available at support@fixclin.com to assist.
  • 17.2 Where a dispute arises between a Client and a Service Provider regarding a completed job, either party may submit a complaint to support@fixclin.com. FixClin will acknowledge within 5 working days.
  • 17.3 This Agreement is governed by the laws of the Republic of Moldova. For Users based in Romania or other EU member states, applicable EU consumer protection rights are fully preserved.
  • 17.4 EU Users have the right to use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

18. Governing law and jurisdiction

This Agreement is governed by the laws of the Republic of Moldova. For Users accessing the Platform from Romania or other EU member states, applicable EU consumer protection laws and GDPR rights are fully preserved and take precedence where they provide greater protection.
